Please read these terms carefully before engaging our services. By using our website or hiring us for CRM development, you agree to the following terms.

Acceptance of Terms

By accessing or using the CustomCRMPros website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you should not use our website or services.

Description of Services

CustomCRMPros LLC provides custom CRM development, integration, migration, and related consulting services for small and mid-size businesses. Our services include, but are not limited to:

  • Custom CRM design, development, and deployment.
  • CRM migration from existing platforms.
  • Third-party integrations and API development.
  • Workflow automation and process optimization.
  • Ongoing support and maintenance.

The specific scope, deliverables, and timeline for each project will be outlined in a separate statement of work or project agreement.

Engagement Process

All projects begin with a discovery consultation to understand your business requirements. Following this, we provide a detailed proposal outlining the project scope, timeline, deliverables, and pricing. Work commences only after both parties have agreed to and signed the project agreement.

Any changes to the agreed scope of work must be documented in writing and may result in adjustments to the project timeline and cost. We will communicate any such changes to you promptly for approval before proceeding.

Payment Terms

Payment terms are outlined in the individual project agreement for each engagement. Unless otherwise specified:

  • A deposit is required before work begins, as specified in your project agreement.
  • Progress payments may be tied to project milestones.
  • Final payment is due upon project completion and delivery.
  • Invoices are due within 30 days of issuance unless otherwise agreed upon in writing.

Late payments may be subject to a service charge as outlined in your project agreement. We reserve the right to pause work on any project with outstanding overdue invoices.

Intellectual Property

Upon full payment of all project fees, the client receives ownership of the custom CRM application and all project-specific code developed exclusively for their engagement. This includes custom modules, configurations, and integrations built specifically for the client.

CustomCRMPros LLC retains ownership of any proprietary frameworks, tools, libraries, or reusable components that were developed independently or prior to the engagement. We grant the client a perpetual, non-exclusive license to use these components within their delivered CRM system.

All content on the CustomCRMPros website, including text, graphics, logos, and design elements, remains the intellectual property of CustomCRMPros LLC and may not be reproduced without written permission.

Client Responsibilities

To ensure the success of each project, the client agrees to:

  • Provide timely access to necessary information, systems, and personnel as required for the project.
  • Review and provide feedback on deliverables within the timeframes outlined in the project agreement.
  • Designate a primary point of contact for project communications.
  • Ensure that all content and data provided to us does not infringe on any third-party rights.

Limitation of Liability

To the maximum extent permitted by law, CustomCRMPros LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or website. This includes, but is not limited to, loss of revenue, loss of data, or business interruption.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific engagement. This limitation applies regardless of the legal theory under which the claim is made.

We provide our services on an "as is" basis with respect to third-party platforms and integrations. While we ensure the quality of our own work, we cannot guarantee the continued availability or compatibility of third-party services.

Warranties and Disclaimers

We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. Any defects in deliverables reported within the warranty period specified in your project agreement will be corrected at no additional cost.

Except as expressly stated in a project agreement, all services and materials are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, the matter shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Modifications to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page with an updated effective date. Your continued use of our website or services after any modifications constitutes acceptance of the revised terms. We encourage you to review these terms periodically.

Termination

Either party may terminate a project engagement by providing written notice as outlined in the project agreement. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. We will deliver all completed work product upon receipt of final payment.

We reserve the right to suspend or terminate access to our website for any user who violates these terms.
